Terms of Use

Law & Cyber Pty Ltd (ABN 68 629 258 377) (Law & Cyber, we, us, our) provides various videos, presentations, materials, information, quizzes, tests, questions, articles, news and other information in course modules (Modules) offered through this platform (Platform).

These Terms of Use govern your access to the Platform and use of the Modules. Please read these Terms of Use carefully. By creating an account with Law & Cyber through the Platform (Account), or by continuing accessing a Module, you accept these Terms of Use.

Any breach of these Terms of Use automatically terminates your right to access Platform or use the Modules and may infringe our rights including copyright.

Account

In order to access a Module, you are required to create and maintain an Account.

In creating and maintaining an Account, you represent and warrant that:

  • you are 18 years or older;

  • all information you provide in respect of your Account is and will be true, accurate, current and complete and you will immediately advise us of any change to that information;

  • you have the right, authority and capacity to enter into these Terms of Use;

  • you will not permit any third party to use your Account;

  • you will not share the link to this course with any person;

  • you will use your business email address to create an account;

  • you will maintain the confidentiality of your Account credentials.

Access to and Use of Modules

Some of Modules may be restricted to users that meet certain criteria as specified in the Module. Subject to the restrictions set out below, where you meet such criteria, and you register for that Module, we authorise you to view that Module and to download and/or print one copy of that Module for your personal use only. For the avoidance of doubt, personal use includes for your professional development. Otherwise, you must not make any commercial use of any Module.

You warrant that you will not:

  • copy, reproduce, screenshot, photograph, film, record, store, modify, translate into any language, disassemble, reverse engineer, reverse assemble or otherwise create derivative works of a Module or any part of a Module or its contents or use a Module for any purpose, unless expressly permitted by these Terms of Use;

  • use a Module for any purpose, unless expressly permitted by these Terms of Use;

  • use a Module or the Platform to distribute any form of malicious, destructive or harmful code (including viruses, Trojan horses and worms) or any instructions activating such codes;

  • use a Module or the Platform in a manner which interferes, or threatens to interfere, with the efficiency or security of a Module, the Platform or their servers; or

  • use a Module in a manner which infringes the rights (including intellectual property rights) of any entity.

After you register to use a Module, you will have ongoing access to that Module for a period for 28 days, after which your access will cease. Alternatively, if you successfully complete the course within 28 days your access will cease on the date you complete the course. You may elect to re-enrol for the Module after the initial 28 day period of access however this may require you to pay a further enrolment fee and recommence and complete the Module to obtain a certificate of completion for that Module.

Intellectual property

Except as expressly set out in these Terms of Use, you obtain no right, title or interest in or to the Modules or any part of them. Each Module and all of its content is owned by Law & Cyber or its licensors.

Modules are not legal or other professional advice

All Modules are intended to provide general information only and do not constitute legal, business, information technology or other professional advice. If you require such advice, you must seek specific advice tailored to your circumstances.

Your use of a Module is not intended to, and does not, create a solicitor-client relationship between you and Law & Cyber or its directors or employees.

Limited Liability

To the maximum extent permitted by law:

  • Law & Cyber excludes any liability to you or any third party which may arise as a result of any use of a Module or access to the Platform, including but not limited to the transmission of any computer viruses or anything else that may interfere with or damage the operations of your computer systems;

  • Law & Cyber is not liable for any damages whatsoever arising out of the use, inability to use, or the results of the use of a Module, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages; and

  • if you rely on the content in a Module, you do so at your own risk.

No Warranty

To the maximum extent permitted by law, Law & Cyber provides the Modules and Platform "as is", without any warranties or representations of any kind, including as to the availability, quality, merchantability, acceptability, fitness for purpose, condition, accuracy, currency, description or performance of the Module.

You acknowledge that the Module is hosted on Platform and that Law & Cyber is not responsible for any failure of the Platform including its availability or reliability and Law & Cyber cannot guarantee that you will have access to the Platform at any given time. You acknowledge that Law & Cyber can offer no assurance that the Modules will remain free from unauthorised access, corruption, interception, tampering, viruses or hacking.

All Modules are created for the Australian market only. Law & Cyber gives no warranties or representations as to the application, relevance or suitability of any Module in countries outside Australia.

Termination

We may terminate your right to access the Platform or use the Module without notice. You are not entitled to any compensation in the event we do so.

Your Information

From time to time, we have arrangements in place with various third party organisations which have been authorised by us to give you access directly to the Platform and Module or refer you by direct link to the Platform and Module (Authorised Party). If you have gained access to use the Module directly from or via an Authorised Party, you consent to Law & Cyber, the Platform and the Authorised Party providing to each other your name and email address, details of whether you successfully completed the course and any survey results or feedback you provide.  


General

Force Majeure: We are not liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond our reasonable control.

Assignment: You may not assign your rights to any third party under these Terms of Use without our consent.

Severability: If any provision of these Terms of Use is held to be unlawful, invalid, unenforceable or in conflict with any rule of law, statute, ordinance or regulation it must be severed so that the validity and enforceability of the remaining provisions are not affected.

Waiver: Any failure or delay by a party in exercising any right under this Agreement will not operate as a waiver of that right.

Governing Law: The use of this Site and these Terms of Use are governed by the laws of New South Wales.

Effective Date and Updates: The Terms of Use are effective as of April 2021 and are subject to change without notice by Law & Cyber at any time. Please check for changes regularly. Your access or use of a Module after such changes constitutes your agreement to such changes.

Additional Terms for users accessing the course who are individuals or entities with a direct licence from Law & Cyber

You warrant that you will not:

  • communicate to the public, share, publish, distribute, sell, auction, loan, rent, give away, describe, summarise or otherwise reveal a Module or any part of a Module to any third party;

  • access or use a Module or the Platform in a manner which would expose us to the risk of any claims or other legal or administrative actions.

By creating an Account, by accessing the Platform, or by using a Module, you agree to indemnify us for any loss or liability we suffer or incur out of such actions.
